Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, platforms, and services provided by alphaproluxis d.o.o. ("alphaproluxis", "we", "our", "us"). By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy.

alphaproluxis is a Croatian limited liability company (d.o.o.) registered under number 258741369, with VAT number HR25963874167, and registered address at Heinzelova ulica 51, 21585 Split, Croatia.

Acceptance of Terms

By accessing, browsing, or using any part of our website or enterprise data intelligence platforms, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not access or use our services.

These Terms apply to all users of our services, including visitors to our website, prospective clients, and enterprise customers who have entered into separate service agreements with alphaproluxis. Where separate agreements exist, they shall take precedence over these general Terms for the specific services covered.

We reserve the right to modify these Terms at any time. Changes will be effective when posted on our website. Your continued use of our services after such changes constitutes your acceptance of the modified Terms.

Description of Services

alphaproluxis provides enterprise-grade data-driven decision making platforms and related services, including but not limited to:

  • Advanced analytics platforms and business intelligence tools
  • Strategic intelligence dashboards and reporting systems
  • Predictive modelling and machine learning solutions
  • Enterprise integration and data management services
  • Consultation, training, and technical support services

Our services are designed for business and enterprise use. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice, though we will endeavour to provide reasonable advance notice of material changes affecting existing customers.

User Obligations

When using our services, you agree to:

  • Provide accurate, current, and complete information when requested
  • Maintain the security and confidentiality of your account credentials
  • Use our services only for lawful business purposes
  • Comply with all applicable laws, regulations, and industry standards
  • Respect the intellectual property rights of alphaproluxis and third parties
  • Not attempt to gain unauthorised access to our systems or other users' data
  • Not use our services to transmit harmful, illegal, or inappropriate content
  • Not reverse engineer, decompile, or attempt to extract source code from our platforms

You are responsible for all activities that occur under your account and for ensuring that your use of our services complies with these Terms and applicable laws.

Intellectual Property

All intellectual property rights in our websites, platforms, services, and related materials are owned by or licensed to alphaproluxis. This includes but is not limited to software, algorithms, databases, content, designs, trademarks, and trade secrets.

Subject to these Terms and any separate service agreement, we grant you a limited, non-exclusive, non-transferable licence to access and use our services for your internal business purposes. This licence does not permit you to:

  • Copy, modify, or create derivative works of our platforms or content
  • Distribute, sublicense, or otherwise make our services available to third parties
  • Use our intellectual property for competitive purposes
  • Remove or alter any proprietary notices or labels

You retain ownership of any data you provide to our platforms, subject to our rights to process such data as necessary to provide our services and as described in our Privacy Policy.

Data Protection and Privacy

Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By using our services, you consent to the processing of your data in accordance with our Privacy Policy.

For enterprise customers, data processing arrangements are typically governed by separate Data Processing Agreements (DPAs) that comply with applicable data protection laws, including the General Data Protection Regulation (GDPR).

You are responsible for ensuring that any data you provide to our platforms is accurate and that you have the necessary rights and permissions to share such data with us for the purposes of receiving our services.

Payment and Billing

For paid services, you agree to pay all fees as specified in your service agreement or as displayed on our website. Unless otherwise agreed, payments are due in advance and are non-refundable.

We reserve the right to modify our pricing at any time, though changes will not affect existing contractual commitments. Price changes for ongoing services will be communicated with reasonable advance notice.

If payment is overdue, we may suspend access to our services until payment is received. Persistent non-payment may result in termination of services and potential legal action to recover outstanding amounts.

Service Availability and Performance

While we strive to provide reliable and consistent service, we do not guarantee that our platforms will be available at all times or free from interruptions. Scheduled maintenance, system updates, and unforeseen technical issues may occasionally affect service availability.

We make reasonable efforts to maintain high levels of service performance and security, but we cannot guarantee that our services will meet all of your specific requirements or that they will be error-free.

For enterprise customers, specific service level commitments are typically defined in separate service level agreements (SLAs).

Limitation of Liability

To the maximum extent permitted by applicable law, alphaproluxis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to your use of our services.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you to alphaproluxis in the twelve months preceding the event giving rise to the claim.

These limitations apply regardless of the legal theory on which the claim is based and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so these limitations may not apply to you.

Nothing in these Terms shall limit our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless alphaproluxis, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from:

  • Your use of our services in violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your infringement of any third-party rights
  • Any data or content you provide to our platforms

This indemnification obligation shall survive the termination of these Terms and your use of our services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

Any disputes arising from or related to these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Split, Croatia. However, we reserve the right to seek injunctive relief or other equitable remedies in any court of competent jurisdiction to protect our intellectual property rights.

For enterprise customers located outside Croatia, alternative dispute resolution mechanisms may be specified in separate service agreements.

Termination

Either party may terminate these Terms at any time with or without cause. We may also suspend or terminate your access to our services immediately if you violate these Terms or engage in conduct that we reasonably believe is harmful to our business or other users.

Upon termination:

  • Your right to access and use our services will cease immediately
  • We may delete your account and associated data, subject to applicable data retention requirements
  • You must cease all use of our intellectual property
  • Provisions that by their nature should survive termination shall continue in effect

For enterprise customers, specific termination procedures and data retention arrangements are typically defined in separate service agreements.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or technical failures of third-party services.

If such circumstances continue for more than sixty (60) days, either party may terminate the affected services with written notice.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

Entire Agreement

These Terms, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and alphaproluxis regarding your use of our services and supersede all prior agreements and understandings.

No waiver of any provision of these Terms shall be deemed a waiver of any other provision or a continuing waiver. Our failure to enforce any provision shall not constitute a waiver of our right to enforce such provision in the future.
